Dr. Christoph Kins<\/a> has ana\u00adlyzed three recent deci\u00adsions \u2014 OLG D\u00fcs\u00adsel\u00addorf, OLG Karl\u00adsruhe and VK Sach\u00adsen \u2014 in the pro\u00adcure\u00adment blog of the Ger\u00adman Pro\u00adcure\u00adment Net\u00adwork (DVNW) and worked out what real\u00adly mat\u00adters.<\/p>\n\n

In all three cas\u00ades, the ten\u00adder doc\u00adu\u00adments con\u00adtained so-called gen\u00ader\u00adal terms and con\u00addi\u00adtions defense claus\u00ades. In all three cas\u00ades, this did not play a deci\u00adsive role. <\/p>\n\n

The actu\u00adal test point is a dif\u00adfer\u00adent one: Did the bid\u00adder want to devi\u00adate \u2014 or not?<\/strong> This is what the inter\u00adpre\u00adta\u00adtion of the struc\u00adture and con\u00adtent of the offer in all three deci\u00adsions boils down to.<\/p>\n\n

The indi\u00adca\u00adtions that mat\u00adter are very spe\u00adcif\u00adic: Is the cov\u00ader let\u00adter indi\u00advid\u00adu\u00adal\u00adly addressed? Does the offer explic\u00adit\u00adly refer to the devi\u00adat\u00ading doc\u00adu\u00adment? Do the price details extend to the devi\u00ada\u00adtion? Does the devi\u00ada\u00adtion have its own sub\u00addi\u00advi\u00adsion num\u00adber \u2014 or is it con\u00adtained in gen\u00ader\u00adal terms and con\u00addi\u00adtions labeled as such? Did it only come to light in the clar\u00adi\u00adfi\u00adca\u00adtion? Does it have more of an adver\u00adtis\u00ading effect? <\/p>\n\n

The answers to these ques\u00adtions are deci\u00adsive. There is no short\u00adcut. <\/p>\n\n

What this means in prac\u00adtice<\/h4>\n\n

The fol\u00adlow\u00ading applies to bid\u00adders<\/strong>: Any\u00adone sub\u00admit\u00adting their own con\u00adcepts, sam\u00adple let\u00adters or draft con\u00adtracts when prepar\u00ading a bid should check care\u00adful\u00adly whether and where they devi\u00adate from the ten\u00adder doc\u00adu\u00adments. The assur\u00adance in the let\u00adter of offer that every\u00adthing will be accept\u00aded does not can\u00adcel out spe\u00adcif\u00adic devi\u00ada\u00adtions else\u00adwhere. <\/p>\n\n
