The deci\u00adsion pro\u00advides impor\u00adtant clar\u00adi\u00adfi\u00adca\u00adtions on the inter\u00adpre\u00adta\u00adtion of deliv\u00adery con\u00addi\u00adtions (\u201cfree place of use\u201d) as well as on the require\u00adments for the spec\u00adi\u00adfi\u00adca\u00adtion of min\u00adi\u00admum and max\u00adi\u00admum quan\u00adti\u00adties.   <\/p>\n\n<p class=\"wp-block-paragraph\">Our video dis\u00adcussing the judg\u00adment:<\/p>\n\n<figure class=\"wp-block-embed is-type-video is-provider-youtube wp-block-embed-youtube wp-embed-aspect-16-9 wp-has-aspect-ratio\"><div class=\"wp-block-embed__wrapper\">\n<iframe hcb-fetch-image-from=\"https:\/\/youtu.be\/OarQCtENPQk\" title=\"Anforderungen an Lieferbedingungen und Mengenger\u00fcste bei Rahmenvereinbarungen !\" width=\"800\" height=\"450\" src=\"https:\/\/www.youtube.com\/embed\/OarQCtENPQk?feature=oembed\" frameborder=\"0\" allow=\"accelerometer; autoplay; clipboard-write; encrypted-media; gyroscope; picture-in-picture; web-share\" referrerpolicy=\"strict-origin-when-cross-origin\" allowfullscreen><\/iframe>\n<\/div><\/figure>\n\n<h2 class=\"wp-block-heading\"><strong>Facts: The pit\u00adfalls of deliv\u00adery con\u00addi\u00adtions for bulk goods<\/strong> <\/h2>\n\n<p class=\"wp-block-paragraph\">A local author\u00adi\u00adty issued a Europe-wide invi\u00adta\u00adtion to ten\u00adder for the sup\u00adply of clean\u00ading and hygiene prod\u00aducts as a frame\u00adwork agree\u00adment over two years. The spec\u00adi\u00adfi\u00adca\u00adtions required the con\u00addi\u00adtion \u201cfree point of use\u201d, which includ\u00aded deliv\u00adery \u201cto the respec\u00adtive work\u00adplace or to the stor\u00adage loca\u00adtion spec\u00adi\u00adfied by the point of use\u201d.   <\/p>\n\n<p class=\"wp-block-paragraph\">One bid\u00adder sub\u00admit\u00adted a logis\u00adtics con\u00adcept and lat\u00ader explained when asked that, although deliv\u00adery was free of charge, it would always be deliv\u00adered \u201cbehind the first door\u201d. Deliv\u00adery \u201cfree to point of use\u201d was only pos\u00adsi\u00adble via an option\u00adal addi\u00adtion\u00adal ser\u00advice.   <\/p>\n\n<p class=\"wp-block-paragraph\">The con\u00adtract\u00ading author\u00adi\u00adty exclud\u00aded the bid\u00adder\u2019s offer as it con\u00adsid\u00adered the deliv\u00adery \u201cbehind the first door\u201d to be an inad\u00admis\u00adsi\u00adble amend\u00adment to the ten\u00adder doc\u00adu\u00adments ($\\S$ 57 Para. 1 No. 4 VgV). The bid\u00adder com\u00adplained about the exclu\u00adsion and also object\u00aded to the fact that the frame\u00adwork agree\u00adment did not con\u00adtain any min\u00adi\u00admum pur\u00adchase quan\u00adti\u00adties and that the max\u00adi\u00admum quan\u00adti\u00adty spec\u00adi\u00adfi\u00adca\u00adtion was non-trans\u00adpar\u00adent.   <\/p>\n\n<h2 class=\"wp-block-heading\"><strong>Key point of the deci\u00adsion: Inter\u00adpre\u00adta\u00adtion and frame\u00adwork agree\u00adments<\/strong> <\/h2>\n\n<p class=\"wp-block-paragraph\">The Karl\u00adsruhe High\u00ader Region\u00adal Court reject\u00aded the bid\u00adder\u2019s imme\u00addi\u00adate appeal on all key points.  <\/p>\n\n<h3 class=\"wp-block-heading\"><strong>1. exclu\u00adsion due to devi\u00ada\u00adtion: \u201cBehind the first door\u201d is not \u201cfree place of use\u201d<\/strong> <\/h3>\n\n<p class=\"wp-block-paragraph\">Any ten\u00adder that devi\u00adates from the manda\u00adto\u00adry require\u00adments of the ten\u00adder doc\u00adu\u00adments must be exclud\u00aded in order to ensure fair com\u00adpe\u00adti\u00adtion.  <\/p>\n\n<p class=\"wp-block-paragraph\">Inter\u00adpre\u00adta\u00adtion of the ten\u00adder: The inter\u00adpre\u00adta\u00adtion is made in good faith from the per\u00adspec\u00adtive of an objec\u00adtive third par\u00adty in the posi\u00adtion of the award\u00ading author\u00adi\u00adty.  <\/p>\n\n<p class=\"wp-block-paragraph\">Devi\u00ada\u00adtion is a rea\u00adson for exclu\u00adsion: The dec\u00adla\u00adra\u00adtion to deliv\u00ader \u201calways behind the first door\u201d did not cor\u00adre\u00adspond to the manda\u00adto\u00adry require\u00adment of deliv\u00adery \u201cfree at place of use\u201d.  <\/p>\n\n<p class=\"wp-block-paragraph\">Lim\u00adits of the clar\u00adi\u00adfi\u00adca\u00adtion: The clar\u00adi\u00adfi\u00adca\u00adtion serves to clar\u00adi\u00adfy, not to sub\u00adse\u00adquent\u00adly amend the ten\u00adder. The bid\u00adder\u2019s expla\u00adna\u00adtions led pre\u00adcise\u00adly to the con\u00adclu\u00adsion that the bid was not com\u00adpli\u00adant, which is why the exclu\u00adsion was law\u00adful.   <\/p>\n\n<h3 class=\"wp-block-heading\"><strong>2. require\u00adments for quan\u00adti\u00adties in frame\u00adwork agree\u00adments<\/strong> <\/h3>\n\n<p class=\"wp-block-paragraph\">The OLG found the com\u00adplaints regard\u00ading the quan\u00adti\u00adties to be mate\u00adri\u00adal\u00adly unfound\u00aded.  <\/p>\n\n<p class=\"wp-block-paragraph\">Max\u00adi\u00admum quan\u00adti\u00adty is suf\u00adfi\u00adcient: In the case of a frame\u00adwork agree\u00adment, the con\u00adtract\u00ading author\u00adi\u00adty must state both the esti\u00admat\u00aded quan\u00adti\u00adty and a max\u00adi\u00admum quan\u00adti\u00adty in the con\u00adtract notice and\/or the ten\u00adder doc\u00adu\u00adments. Spec\u00adi\u00adfy\u00ading the esti\u00admat\u00aded quan\u00adti\u00adty as the max\u00adi\u00admum quan\u00adti\u00adty is in com\u00adpli\u00adance with pro\u00adcure\u00adment law.   <\/p>\n\n<p class=\"wp-block-paragraph\">Rel\u00ada\u00adtiviza\u00adtion is per\u00admis\u00adsi\u00adble: The reser\u00adva\u00adtion to increase or reduce indi\u00advid\u00adual items does not inad\u00admis\u00adsi\u00adbly rel\u00ada\u00adtivize the max\u00adi\u00admum quan\u00adti\u00adty as long as this only con\u00adcerns small shifts in quan\u00adti\u00adty and does not rep\u00adre\u00adsent a sig\u00adnif\u00adi\u00adcant change to the over\u00adall con\u00adtract.  <\/p>\n\n<p class=\"wp-block-paragraph\">No min\u00adi\u00admum pur\u00adchase quan\u00adti\u00adty required: In the case of bulk goods (here: clean\u00ading and hygiene arti\u00adcles), which can be pro\u00adcured in any quan\u00adti\u00adty at any time and sold else\u00adwhere, there is no oblig\u00ada\u00adtion to spec\u00adi\u00adfy a min\u00adi\u00admum pur\u00adchase quan\u00adti\u00adty.  <\/p>\n\n<h2 class=\"wp-block-heading\"><strong>Tips for pub\u00adlic clients: Cre\u00adate clar\u00adi\u00adty<\/strong> <\/h2>\n\n<p class=\"wp-block-paragraph\">Par\u00adtic\u00adu\u00adlar\u00adly in the case of com\u00adplex logis\u00adtics require\u00adments, the pub\u00adlic sec\u00adtor must cre\u00adate clar\u00adi\u00adty and apply strict stan\u00addards to the inter\u00adpre\u00adta\u00adtion of ten\u00adders.  <\/p>\n\n<p class=\"wp-block-paragraph\"><strong>Clear\u00adly define manda\u00adto\u00adry require\u00adments<\/strong>: Must-have require\u00adments such as \u201cfree point of use\u201d must be explained in detail in the ser\u00advice descrip\u00adtion. The require\u00adment must be pre\u00adcise\u00adly tai\u00adlored to the actu\u00adal need (e.g. deliv\u00adery to the indi\u00advid\u00adual office).   <\/p>\n\n<p class=\"wp-block-paragraph\"><strong>Avoid inter\u00adpre\u00adta\u00adtion: <\/strong>The award\u00ading author\u00adi\u00adty may only inter\u00adpret ten\u00adders from the per\u00adspec\u00adtive of an objec\u00adtive recip\u00adi\u00adent. Devi\u00adat\u00ading for\u00admu\u00adla\u00adtions in the ten\u00adder must con\u00adsis\u00adtent\u00adly lead to exclu\u00adsion in order to ensure fair com\u00adpe\u00adti\u00adtion.   <\/p>\n\n<p class=\"wp-block-paragraph\"><strong>Quan\u00adti\u00adty spec\u00adi\u00adfi\u00adca\u00adtions for frame\u00adwork agree\u00adments: <\/strong>Always spec\u00adi\u00adfy a max\u00adi\u00admum quan\u00adti\u00adty of the callable ser\u00advice, as the frame\u00adwork agree\u00adment los\u00ades its effect once this has been reached. In the case of bulk goods, it is per\u00admis\u00adsi\u00adble to spec\u00adi\u00adfy the esti\u00admat\u00aded quan\u00adti\u00adty as the max\u00adi\u00admum quan\u00adti\u00adty.   <\/p>\n\n<p class=\"wp-block-paragraph\"><strong>Flex\u00adi\u00adbil\u00adi\u00adty with\u00adout min\u00adi\u00admum quan\u00adti\u00adty: <\/strong>You do not have to guar\u00adan\u00adtee a min\u00adi\u00admum pur\u00adchase quan\u00adti\u00adty for bulk goods. Minor reser\u00adva\u00adtions to shift quan\u00adti\u00adty items are per\u00admit\u00adted as long as they do not sig\u00adnif\u00adi\u00adcant\u00adly change the over\u00adall scope.   <\/p>\n\n<h2 class=\"wp-block-heading\"><strong>Tips for bid\u00adders and appli\u00adcants: Care\u00adful sub\u00admis\u00adsion of ten\u00adders<\/strong> <\/h2>\n\n<p class=\"wp-block-paragraph\">The prin\u00adci\u00adple of utmost care applies to bid\u00adders. Any devi\u00ada\u00adtion from the manda\u00adto\u00adry require\u00adments of the spec\u00adi\u00adfi\u00adca\u00adtions may result in exclu\u00adsion.   <\/p>\n\n<p class=\"wp-block-paragraph\"><strong>Absolute con\u00adfor\u00admi\u00adty with manda\u00adto\u00adry require\u00adments:<\/strong> Ensure that your offer ful\u00adfills every manda\u00adto\u00adry require\u00adment (e.g. deliv\u00adery con\u00addi\u00adtion) with\u00adout restric\u00adtion. Even the word\u00ading \u201cin prin\u00adci\u00adple\u201d in con\u00adnec\u00adtion with a devi\u00adat\u00ading stan\u00addard deliv\u00adery can lead to exclu\u00adsion.   <\/p>\n\n<p class=\"wp-block-paragraph\"><strong>Lim\u00adits of clar\u00adi\u00adfi\u00adca\u00adtion:<\/strong> If the award\u00ading author\u00adi\u00adty requests clar\u00adi\u00adfi\u00adca\u00adtion, your expla\u00adna\u00adtions serve to clar\u00adi\u00adfy, not to sub\u00adse\u00adquent\u00adly amend the ten\u00adder. If your clar\u00adi\u00adfi\u00adca\u00adtion con\u00adfirms the non-con\u00adfor\u00admi\u00adty, exclu\u00adsion is unavoid\u00adable.   <\/p>\n\n<p class=\"wp-block-paragraph\"><strong>Cal\u00adcu\u00adlate the min\u00adi\u00admum quan\u00adti\u00adty risk:<\/strong> Bear in mind that the award\u00ading author\u00adi\u00adty does not have to guar\u00adan\u00adtee a min\u00adi\u00admum pur\u00adchase quan\u00adti\u00adty for bulk goods.
